Terms & Conditions

These Terms and Conditions ("Agreement") govern your use of Myzentrova's services and website. By engaging our services or using our website, you confirm that you have read, understood, and agreed to the terms below. Please review them carefully before proceeding.
01Definitions
Throughout this Agreement, the following terms carry the meanings set out here:
- "Service" — any AI development, consulting, or advisory work provided by Myzentrova, including Demand Forecasting, Text Summarisation, and AI Integration Consulting.
- "User" or "Client" — any individual or organisation that engages Myzentrova for services or accesses this website.
- "We / Us / Our" — Myzentrova, operating from 14 Jalan P. Ramlee, 50250 Kuala Lumpur, Malaysia.
- "Content" — data, documents, materials, or deliverables created or exchanged in connection with the Service.
- "Agreement" — these Terms and Conditions together with any project-specific Statement of Work or engagement letter.
- "Deliverable" — any model, report, documentation, or artefact produced by Myzentrova as part of an engagement.
02Acceptance of Terms
By submitting an enquiry, signing an engagement letter, or making payment for a Service, you form a binding agreement with Myzentrova under these Terms. If you do not accept these Terms, please do not proceed with engagement.
- You must be at least 18 years of age or the age of majority in your jurisdiction.
- If engaging on behalf of a company or organisation, you represent that you have authority to bind that entity.
- These Terms apply to all services provided, whether communicated verbally, in writing, or electronically.
03Service Description
Myzentrova provides professional AI services to businesses and organisations. Current service offerings include:
- Demand Forecasting System — development of time-series prediction models, historical data analysis, and integration support over an 8-week engagement.
- Text Summarisation Service — automated document summarisation systems including model selection, fine-tuning, and API deployment over 6 weeks.
- AI Integration Consulting — advisory covering vendor assessment, proof-of-concept design, and integration architecture planning over 4 weeks, with an optional extension.
Service availability and scope are subject to project-specific agreements. Myzentrova reserves the right to modify or discontinue service offerings with reasonable notice.
04Client Accounts & Engagement
Formal engagements are initiated through a mutually signed Statement of Work or engagement letter. You are responsible for:
- Providing accurate contact and organisation details at the time of engagement.
- Maintaining the confidentiality of any shared credentials or access tokens relevant to the project.
- Notifying Myzentrova promptly of any changes to your contact information or project requirements.
Either party may terminate an engagement in accordance with the Termination provisions in Section 12 of this Agreement.
05User Responsibilities
As a client of Myzentrova, you agree to:
- Provide accurate, complete, and timely information and data required for the engagement.
- Ensure that any data shared with Myzentrova is lawfully obtained and that you hold the necessary rights to share it.
- Cooperate with Myzentrova's team during scheduled reviews, feedback sessions, and handover stages.
- Use Deliverables only for lawful purposes and in accordance with applicable Malaysian law.
- Not reverse-engineer, redistribute, or sub-license Deliverables without prior written consent.
Prohibited Activities
You must not use Myzentrova's services or Deliverables to:
- Engage in any unlawful, fraudulent, or deceptive activity.
- Violate the intellectual property rights of any third party.
- Process personal data without lawful basis under the Personal Data Protection Act 2010 (PDPA).
- Develop systems intended to cause harm, discrimination, or harassment.
06Intellectual Property
Unless otherwise agreed in writing, the following IP provisions apply:
- Myzentrova retains ownership of all pre-existing tools, frameworks, methodologies, and know-how used in delivering services.
- Upon receipt of full payment, Myzentrova grants the Client a non-exclusive, non-transferable licence to use the Deliverables for the Client's internal business purposes.
- Client-supplied data and materials remain the property of the Client at all times.
- Neither party may use the other's name, logo, or branding for promotional purposes without prior written consent.
For arrangements involving full assignment of developed IP, a separate written agreement with additional terms will be required.
07Payment Terms
All fees are quoted and invoiced in Malaysian Ringgit (RM). Standard payment structure:
- A deposit of 50% of the total engagement fee is due prior to project commencement.
- The remaining balance is due upon delivery of the final Deliverable, unless stated otherwise in the project agreement.
- Invoices are payable within 14 days of issue via bank transfer or other agreed payment method.
- Late payments may attract a service fee of 1.5% per month on the outstanding balance after the due date.
Refund Policy
The deposit is non-refundable once the project has commenced. If Myzentrova is unable to complete the engagement due to circumstances within our control, a proportional refund of fees paid for undelivered work will be considered on a case-by-case basis. No refund applies to completed and delivered phases of work.
08Service-Specific Terms
Demand Forecasting & Text Summarisation
- Timelines stated (8 weeks and 6 weeks respectively) assume timely provision of required data and access from the Client.
- Delays attributable to the Client may extend the project timeline without affecting the agreed fee.
- Model accuracy is subject to data quality and representativeness; Myzentrova does not warrant specific prediction accuracy.
AI Integration Consulting
- Advisory recommendations are based on information available at the time of engagement and do not constitute endorsement of specific vendors.
- The optional implementation oversight extension is subject to separate agreement and pricing.
- Myzentrova is not liable for decisions made by the Client based on advisory outputs.
09Disclaimers
Services are provided on a professional best-efforts basis. Myzentrova does not represent that:
- Any model, system, or Deliverable will achieve specific performance thresholds or business outcomes.
- Services will meet every requirement of the Client beyond the scope defined in the project agreement.
- The website or supporting platforms will be uninterrupted or free of errors at all times.
All content on the Myzentrova website is provided for informational purposes. It does not constitute professional advice beyond the context of an active engagement.
10Limitation of Liability
To the fullest extent permitted by Malaysian law, Myzentrova's total aggregate liability to the Client in connection with any engagement shall not exceed the total fees paid by the Client for the specific service giving rise to the claim.
Myzentrova shall not be liable for:
- Indirect, incidental, or consequential losses, including loss of profit or data.
- Losses arising from the Client's reliance on Deliverables beyond the agreed scope of use.
- Events beyond our reasonable control (force majeure), including infrastructure outages, natural events, or regulatory changes.
11Indemnification
You agree to indemnify and hold harmless Myzentrova, its team members, and associates from any claims, damages, or expenses (including reasonable legal fees) arising from:
- Your use of Deliverables in a manner inconsistent with this Agreement.
- Any breach of your obligations under these Terms.
- Data or materials supplied to Myzentrova that infringe third-party rights or violate applicable law.
12Termination
Either party may terminate an engagement by providing 14 days' written notice. Myzentrova may terminate with immediate effect if:
- The Client fails to make payment within the agreed period after a formal reminder.
- The Client materially breaches any term of this Agreement and fails to remedy the breach within 7 days of notice.
Upon termination, the Client is liable for fees covering work completed to date. Sections relating to IP, confidentiality, liability, and dispute resolution survive termination.
13Dispute Resolution
This Agreement is governed by the laws of Malaysia. In the event of a dispute, both parties agree to first attempt resolution through good-faith discussion within 30 days of written notice of the dispute.
If informal resolution is not achieved, disputes shall be referred to mediation under the Asian International Arbitration Centre (AIAC) Mediation Rules before proceeding to litigation. The courts of Kuala Lumpur shall have exclusive jurisdiction for any unresolved matters.
14General Provisions
- Entire Agreement: This Agreement, together with any project-specific documentation, constitutes the full agreement between the parties.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure by Myzentrova to enforce any provision does not constitute a waiver of that right.
- Assignment: Neither party may assign rights under this Agreement without prior written consent.
- Notices: Formal notices should be sent by email to legal@myzentrova or by post to our registered address.
15Changes to These Terms
Myzentrova may update these Terms from time to time to reflect changes in our services, practices, or legal obligations. When changes are made, the "Last Updated" date at the top of this page will be revised.
For active engagements, material changes will be communicated by email. Continued use of our website or services after updates are posted constitutes acceptance of the revised Terms.
